Terms of sale

These Terms of Sale ("Terms") govern the sale of the Meylo application, published by AM Tech (Anthony Marandon, sole proprietorship registered under SIRET 907 743 819 00043, 138 Avenue Victor Hugo, 75016 Paris, France), distributed exclusively through the Mac App Store operated by Apple.

1. Purpose

These Terms define the conditions under which AM Tech makes the Meylo application available through the Mac App Store, as well as the rights and obligations of the publisher and the end user (the "Customer"). Any order implies full acceptance of these Terms, as well as Apple's Media Services Terms and Conditions, which the Customer adheres to upon purchase.

2. Application description

Meylo is a native macOS application running entirely offline, providing an infinite canvas for visual note-taking, sketching, and idea structuring. The application requires no user account, no internet connection, and no remote service to operate.

3. Exclusive distribution via the Mac App Store

The Meylo application is exclusively distributed by Apple Distribution International Ltd. (Hollyhill Industrial Estate, Hollyhill, Cork, Ireland) through the Mac App Store. The sale agreement is formed between the Customer and Apple, acting as authorized reseller ("merchant of record"). Payment, billing, and refund conditions applicable to the transaction are governed by the Apple Media Services Terms and Conditions accessible from the App Store application. AM Tech nonetheless remains responsible for product conformity under the conditions defined in these Terms and applicable law.

4. Price

The price of Meylo is set at €14.99 (incl. tax). The notice "VAT not applicable, Article 293 B of the French General Tax Code" applies under the French VAT exemption regime that AM Tech qualifies for. The price may be locally adjusted by Apple based on currency, geographic area, and taxes applicable to the Customer. AM Tech reserves the right to modify the application's price at any time; orders already placed are not affected.

5. Order and payment

The order is placed through the Mac App Store using the Customer's Apple ID. Payment is due immediately and is processed entirely by Apple using the payment methods accepted on the platform. AM Tech does not receive, store, or process any banking or payment data of the Customer.

6. Delivery and access

Delivery is immediate and digital: the application is downloaded and installed on the Customer's Mac(s) immediately after Apple confirms the purchase. The Customer can reinstall the application on any device associated with the same Apple ID, under conditions defined by Apple.

7. Right of withdrawal

In accordance with Article L221-28 13° of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not provided on a tangible medium where performance has begun with the consumer's prior express consent and explicit waiver of the right of withdrawal. By validating the purchase of Meylo through the Mac App Store, the Customer expressly requests immediate performance of the contract (download and access to the application) and acknowledges waiving the right of withdrawal. No refund may be claimed directly from AM Tech on this basis.

8. Apple refund policy

Although the right of withdrawal is excluded, the Customer retains the ability to request a refund directly from Apple, under the conditions defined by Apple, through the reportaproblem.apple.com portal or by direct contact with Apple Support. Refund decisions are at Apple's sole discretion; AM Tech has no ability to intervene in these requests.

9. Legal warranty of conformity

The Customer benefits from the legal warranty of conformity provided for in Articles L217-3 et seq. of the French Consumer Code, which requires the seller to deliver goods conforming to the contract. In case of non-conformity, the Customer can request remediation of the digital content, a price reduction, or contract termination under the conditions set by law. AM Tech remains bound by this warranty throughout the period of supply of the digital content.

10. Hidden defects warranty

In accordance with Articles 1641 et seq. of the French Civil Code, the Customer may also invoke the hidden defects warranty rendering the application unfit for its intended use. Any claim under this warranty should be sent to contact@anthonymarandon.fr.

11. License of use

The purchase of Meylo grants the Customer a personal, non-exclusive, and non-transferable license to use the application, under the conditions defined in the Terms of Use. The standard Apple Licensed Application End User License Agreement also applies by default, in accordance with Apple's requirements.

12. Updates

AM Tech may release updates to Meylo, free or paid, distributed through the Mac App Store. AM Tech does not warrant the compatibility of future macOS versions with prior versions of Meylo, nor the continued availability of the application on the Mac App Store.

13. Limitation of liability

AM Tech shall under no circumstances be held liable for indirect damages (data loss, loss of business, loss of opportunity) resulting from the use or inability to use Meylo. AM Tech's total liability, regardless of cause, is expressly limited to the price paid by the Customer for the application, without prejudice to mandatory provisions applicable to consumers. No limitation may exclude AM Tech's liability in case of gross negligence or willful misconduct.

14. Intellectual property

The Meylo application, its source code, interfaces, graphics, documentation, and all associated elements are the exclusive property of AM Tech and are protected by copyright and other intellectual property rights. The purchase of Meylo confers no ownership of the application, but only a strictly defined right of use.

15. Personal data

The processing of personal data is described in the Privacy Policy, accessible from the meylo website. AM Tech reminds that no personal data is collected by the application, which runs entirely offline.

16. Consumer mediation

In accordance with Articles L611-1 et seq. of the French Consumer Code, the Customer may submit any dispute, free of charge, to a consumer mediator. The Customer may also use the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

17. Applicable law and jurisdiction

These Terms are governed by French law. In the event of a dispute and after an attempt at amicable resolution, exclusive jurisdiction is granted to the courts of Paris, subject to mandatory provisions applicable to consumers allowing them to bring the case before the court of their place of residence.
